Terms & Conditions

Welcome to Instromedia. These Terms & Conditions govern your access to and use of our website (instromedia.com) and client development services.

01.Acceptance of Terms

In short:By engaging our digital agency services or browsing our site, you agree to these binding terms.

By accessing our website, purchasing services, or entering into a project agreement with Instromedia, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use our website or services.

Authority to Contract

You represent and warrant that you are at least 18 years of age and possess full legal capacity to enter into binding agreements on behalf of yourself or your company.

02.Our Services

In short:We provide custom web engineering, Shopify, WordPress development, and growth marketing retainers.

We provide custom web development, design, and digital marketing services across four core categories. Tap below to inspect each service:

Bespoke web applications, SaaS platforms, and complex web development tailored to your exact tech requirements.

Pricing for each service starts at the rates listed on our Pricing page and varies depending on project scope. Final pricing is confirmed with the client via a written quote or project agreement prior to starting work.

03.Pricing & Payment Terms

In short:Transparent quotes require structured milestone payments (UPI, Card, Wire) before deliverables are released.
  • Pricing displayed on our website reflects the minimum starting cost for a standard-scope project in that category. Final costs are confirmed in writing before work begins.
  • Payment terms (e.g., 50% advance deposit, balance due upon milestone delivery or completion) are specified in the project agreement or invoice.
  • Accepted payment methods include UPI, Bank Wire Transfer, Razorpay, and Stripe.
  • Late or delayed payments may result in an immediate pause or adjustment to project delivery schedules.
  • All fees are non-refundable once development or design work has commenced, except as explicitly provided under our Cancellation & Refund policy.

04.Cancellation & Refund Policy

In short:Retainers and begun development phases are non-refundable once work commences, with cancellations handled per agreement.

Clients may request project cancellation prior to the start of development work for a full refund minus payment processing fees.

Once development or design work has started, refunds will be prorated based on completed milestones at our sole discretion.

Recurring Retainers:

For ongoing Digital Marketing or website maintenance retainers, cancellation must be submitted at least 7 days before the next billing cycle. No refunds are provided for current billing cycles in progress.

05.Client Responsibilities

In short:Timely feedback, verified content, and asset approvals from you are critical to meeting project schedules.
  • Clients must provide timely feedback, content assets, brand guidelines, and approvals necessary to complete the project.
  • Project delays caused by late content submissions or unprovided approvals will extend completion timelines accordingly.
  • Clients warrant that they hold full ownership or usage licenses for all text, images, trademarks, and code provided to Instromedia for project inclusion.

06.Intellectual Property Rights

In short:You own final deliverables upon full payment, while we retain our pre-existing libraries, toolkits, and portfolio rights.

Upon receipt of full payment, full copyright and ownership of final deliverable website design files and code transfer to the client, unless otherwise agreed in writing.

Instromedia retains the right to display completed projects, screenshots, and metrics in our agency portfolio and marketing materials unless a written NDA or restriction is signed.

Any third-party libraries, plugins, stock photography, or open-source software incorporated remain subject to their original licensing terms.

07.Revisions Scope

In short:Scope agreements include designated feedback rounds; extra revisions or feature additions are billed additionally.

Each project scope includes a defined number of revision rounds as specified in the project proposal/agreement. Additional revision requests beyond the included scope will be billed separately at our standard hourly rate or per-revision fee.

08.Warranties & Disclaimers

In short:We build to production standards, but digital services are provided without unlimited or unforeseen third-party guarantees.

We strive for high-quality, high-performance deliverables, but do not guarantee uninterrupted or error-free operation of any website or software application.

Instromedia is not liable for third-party service outages (including cloud hosting, domain registrars, payment gateways, Shopify, or WordPress core platform updates).

Services are provided “AS IS” without warranties of any kind, express or implied, except as explicitly required by law.

09.Limitation of Liability

In short:Our total liability is limited to fees paid for the specific service phase in question.

To the maximum extent permitted by law, Instromedia shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our services or website—including loss of revenue, profit, data, or business opportunities.

10.Termination

In short:Either party may end an engagement with written notice if material terms are breached and left uncured.

We reserve the right to suspend or terminate services immediately for any client who breaches these Terms, engages in unlawful or abusive conduct, or fails to make required contract payments.

11.Governing Law & Legal Jurisdiction

In short:These terms are governed under the legal jurisdiction of competent courts in India.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal action, dispute, or proceeding arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

12.Changes to Terms

In short:Updated terms will be posted on this page with immediate effect upon publication.

We reserve the right to revise or update these Terms at any time. Continued use of our website or services after updates are published constitutes acceptance of the modified Terms.
